Please read these Terms carefully before using the ASCENDIC platform. By creating an account or using any ASCENDIC service, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. About ASCENDIC and These Terms

ASCENDIC ("ASCENDIC", "we", "us", "our") operates an AI-powered coaching discovery, matching, and workflow platform accessible at ascendic.ai and through the ASCENDIC mobile application. The platform connects clients with coaches and provides tools for coaches to manage their practice, access online education, and interact with an AI-powered advisor.

These Terms of Service ("Terms") govern your access to and use of the ASCENDIC platform, website, mobile application, and all related services (collectively, the "Platform"). These Terms constitute a legally binding agreement between you and ASCENDIC.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to create an account. By registering, you represent that all information you provide is accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify ASCENDIC immediately at petra.mesarichorvat@ascendic.ai if you suspect any unauthorised access to your account.

3.3 One Account Per Person

You may not create multiple accounts or use another person's account without permission. Corporate or enterprise accounts are subject to separate enterprise terms.

4. Platform Services

4.1 Marketplace Role

ASCENDIC acts as a marketplace facilitator and technology platform. We do not directly provide coaching services. All coaching is delivered by independent coaches who are responsible for the quality and content of their services.

4.2 AI Matching

ASCENDIC's AI matching engine processes your intake data to suggest compatible coaches. These suggestions are recommendations only and do not constitute endorsement of any specific coach. Final selection is always your choice.

4.3 Availability

We aim to maintain Platform availability 24/7 but cannot guarantee uninterrupted service. We may suspend access for maintenance, security, or other operational reasons with reasonable notice where possible.

5. Payments, Fees and Refunds

5.1 Transaction Fees

ASCENDIC charges a 12.5% platform commission on every coaching session booked through the Platform. This fee is deducted automatically from the session payment before the coach receives their portion. The client pays the full advertised session price.

5.2 Coach Payout

Coaches receive 87.5% of the session value directly to their registered payment account within 7 business days of the session being completed and confirmed. ASCENDIC uses Stripe for payment processing. Coach payouts are subject to Stripe's terms and the Coach Terms (see coaches.html).

5.3 Coach Subscriptions

Coaches may subscribe to paid tiers (Professional: €29/month; Premium: €79/month). Subscriptions are billed monthly in advance and can be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

5.4 Course Payments

Online courses are priced individually by coaches. ASCENDIC takes a 20% platform fee on course sales. Coaches receive 80% of course revenue. Course refund policies are set by individual coaches but must include at minimum a 14-day refund window for courses where less than 20% of content has been accessed.

5.5 Client Refunds — Sessions

Clients may cancel a booked session and receive a full refund if cancellation is made at least 24 hours before the session start time. Cancellations within 24 hours of the session may be subject to a cancellation fee of up to 50% of the session value, at the coach's discretion. No-shows are non-refundable.

5.6 Dispute Resolution — Payments

Payment disputes must be raised within 14 days of the session date by emailing petra.mesarichorvat@ascendic.ai. ASCENDIC will investigate and aim to resolve disputes within 10 business days.

5.7 Taxes

Coaches are solely responsible for declaring and paying all applicable taxes on income received through the Platform. ASCENDIC does not withhold taxes on behalf of coaches. Clients in applicable jurisdictions may see VAT applied to Platform fees.

6. Coach Obligations and Vetting

Coaches must hold valid, current credentials relevant to their stated specialisation (e.g. ICF certification, licensed psychotherapist status, nutritionist certification). ASCENDIC verifies credentials before activating coach profiles. Coaches are responsible for maintaining valid credentials and notifying ASCENDIC of any changes. 7. Client Obligations

Clients agree to: attend booked sessions or cancel with appropriate notice; treat coaches with respect and professionalism; not share session recordings without coach consent; not solicit coaches to bypass the Platform for payment; use the Platform only for lawful purposes.

8. Online Education and Courses

Course content is created by independent coaches and is subject to their individual terms. ASCENDIC does not guarantee the accuracy or completeness of course content. Course access is personal and non-transferable. Courses may not be shared, resold, or redistributed. Access duration is as stated in each course listing.

9. AI Advisor

The ASCENDIC AI Advisor is an assistive tool designed to support your coaching journey. It is not a substitute for professional coaching, therapy, medical advice, or psychological treatment. The AI Advisor's responses are generated by machine learning models and may not always be accurate, complete, or appropriate for your specific situation. ASCENDIC is not liable for any decisions made based on AI Advisor output. If you are experiencing a mental health crisis, please contact a qualified professional or emergency services.

10. Intellectual Property

The ASCENDIC brand, logo, platform design, software, and AI systems are the exclusive intellectual property of ASCENDIC. Coaches retain ownership of their original course content and session materials. By uploading content to the Platform, you grant ASCENDIC a non-exclusive licence to display and deliver that content to users.

11. Prohibited Conduct

You must not: impersonate any person or misrepresent your credentials; use the Platform to engage in fraudulent, abusive, or illegal activity; attempt to reverse-engineer, scrape, or interfere with the Platform; use the AI Advisor to generate harmful, misleading, or illegal content; circumvent Platform payments by arranging off-platform transactions with coaches or clients discovered through ASCENDIC.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ASCENDIC's total liability to you for any claim arising from your use of the Platform shall not exceed the total fees you have paid to ASCENDIC in the 12 months preceding the claim. ASCENDIC is not liable for indirect, incidental, special, or consequential damages. ASCENDIC is not responsible for the conduct, quality, or outcomes of coaching sessions conducted by independent coaches on the Platform.

13. Termination

You may delete your account at any time from your account settings. ASCENDIC may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your access to the Platform and any purchased content ceases. Data retention following termination is governed by our Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Croatia. Any disputes shall first be subject to good-faith negotiation. Unresolved disputes shall be submitted to the competent courts in Croatia. Users in the European Union retain the right to access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

ASCENDIC may update these Terms from time to time. Material changes will be communicated by email to registered users and/or by prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
